Closing

Closing. Means the occurrence of the closing of the initial public offering by the Company of the Common Stock.

Closing. Means the closing of the Holding Company Merger and the Bank Merger.

Closing. Has the meaning set forth in Section2(c) below.

Closing. Shall mean the act of settlement of the purchase and sale of the Property in accordance with this Agreement at which, among other matters, title to the Property is conveyed from Seller to Purchaser and the Purchase Price is paid by Purchaser to Seller.

Closing. Shall mean the Closing, as such term is defined in the Purchase Agreement.

Closing. Shall mean the consummation of the within transactions with respect to any Property.

Closing. Means the closing of the purchase of the Placement Shares as contemplated herein.

Closing. The proceedings at which Seller shall execute and deliver to or for Buyer's benefit the instruments to transfer to Buyer all of the Assets, and otherwise perform the obligations to be performed by Seller under this Agreement, and at which Buyer shall pay the Purchase Price and otherwise perform the obligations to be performed by Buyer under this Agreement.

Closing. Has the meaning given to such term in the NPS SPA.

Closing. The closing of the sale of an Underperforming Property.
