Example Definitions of "Committee"
Committee. The committee appointed by the Board of Directors to administer the 2014 Plan in accordance with Paragraph 21
Committee. The Compensation Committee of the Board or such other committee appointed by the Board to administer the Plan, or its authorized delegates to the extent of such delegation, as applicable.
Committee. A committee designated by the Board which committee shall administer the Plan as set forth in Section 4 of this Article I of the Plan; provided, however, that if no such committee shall be so designated, the Board shall serve as the Committee

Members of the Committee shall be "Non-Employee Directors" within the meaning of Rule 16b-3 under the Act, and "Outside Directors" as defined in Code Section 162(m) and any guidance issued thereunder
Committee. A committee of one or more members of the Board appointed by the Board to administer the Plan in accordance with Section 3.3 the composition of which shall at all times satisfy the provisions of Section 162(m) of the Code

The Committee shall be composed of two or more directors as appointed from time to time to serve by the Board (or such lesser or greater number of directors as shall constitute the minimum number permitted by applicable laws to establish a committee of the Board).

Shall mean the committee of the Board consisting solely of two or more non-employee directors (each of whom is intended to qualify as an "outside director" within the meaning of Section 162(m) of the Code) designated by the Board as the committee responsible for administering and interpreting the Plan.
