Committee

Committee. The Committee means the Governance, Compensation and Nominating Committee of the Corporation's Board of Directors.

Committee. The Compensation Committee of the Board, which shall be comprised solely of two or more outside directors meeting the requirements of Code Section 162(m)(4)(C)(i) to the extent the Plan is intended to satisfy the requirements of Code Section 162(m).

Committee. A committee of the Board.

Committee. Means a committee of the Board that is constituted to comply with Applicable Laws and designated by the Board to administer the Plan

Committee. The Board or any standing committee of the Board that oversees, has responsibility for and has decision-making authority regarding the operation and implementation of the Plan, in accordance with Section 14 hereof

Committee. A committee of the Board of Directors of the Company designated by the Board to administer the Plan and composed of not less than two non-employee directors

Committee. The Compensation Committee of the Board, provided however, if the Compensation Committee of the Board is not composed entirely of Outside Directors, the "Committee" shall mean a committee composed entirely of at least two Outside Directors appointed by the Board from time to time.

Committee. Means Compensation Committee of the Board.

Committee. The Compensation Committee of the Board or such other committee appointed by the Board to administer the Plan that is comprised of not less than two directors of the Company, each of whom shall qualify in all respects as an 'outside director' within the meaning of Section 162(m) of the Code and Section 1.162-27(e)(3) of the Regulations

Committee. Means any committee appointed by the Board or Compensation Committee to administer the Plan or any aspect of the Plan, and may include a committee of Officers or employees of the Company where permitted under Applicable Laws.
