Committee

Committee. The Compensation Committee of the Board, any successor committee thereto, or any other committee of the Board appointed by the Board to administer the Performance Formula and Incentive Plan or to have authority with respect to the Performance Formula and Incentive Plan, or any subcommittee appointed by such Committee, in each case, consisting solely of at least two 'outside directors' as defined under Section 162(m) of the Code.

Committee. The Human Resource and Compensation Committee of the Board of Directors, or any committee appointed by the Board of Directors in accordance with the Company's By-Laws from among its members for the purpose of administering the Plan

Committee. Means the Compensation Committee of the Board (or a successor to such committee designated by the Board).

Committee. Three or more directors designated by the Board of Directors to administer the Plan under Paragraph 3 hereof, who are considered to be non-employee directors within the meaning of Rule 16b-3 of the Exchange Act

Shall mean the Compensation Committee of the Board consisting of three or more Directors, each of whom shall be a "non-employee director" within the meaning of Rule 16b-3 promulgated by the Securities and Exchange Commission under the Securities Exchange Act of 1934, as in effect from time to time, and an "outside director" within the meaning of Section 162(m) of the Code and regulations promulgated thereunder, as in effect from time to time

Committee. The Chief Executive Officer of Talen Energy Corporation and the Vice President of Human Resources of Talen Energy Supply, LLC, or such other person or persons designated by the Compensation, Governance and Nominating Committee of the Board (the "Compensation Committee") from time to time; provided, however, that if any member of the Committee is directly affected by an exercise of discretion, the Compensation Committee shall act as the Committee with respect to that matter

Committee. Shall be the Compensation Committee of the Board, unless the Board designates a different qualifying Committee. Except as otherwise determined by the Board, the Committee shall be so constituted as to permit grants of Options to comply with Section 162(m) of the Code and any regulations promulgated thereunder, or any other statutory rule or regulatory requirements.

Committee. The official joint committee of unsecured creditors appointed in the Centers and Holdings bankruptcy cases.
