Committee

Committee. The Committee, if any, appointed by the Board to administer the Plan. Unless and until the Board appoints the Committee, the Board shall function as the Committee

Committee. A committee appointed by the Board from among its members to administer the Plan in accordance with Section 4.

Committee. The Leadership Development and Compensation Committee of the Board. No action of the Committee shall be void or deemed to be without authority due to the failure of any member, at the time the action was taken, to meet any qualification standard set forth in the Committee's charter or this Plan. The full Board may perform any function of the Committee hereunder, in which case the term 'Committee' shall refer to the Board

Committee. Means the Board or any Compensation Committee of the Board that shall be constituted (i) as to permit the Plan to comply with Rule 16b-3, and (ii) solely of outside directors, within the meaning of Section 162(m) of the Code and applicable interpretive authority thereunder.
