Committee

Committee. Shall mean the Compensation Committee of the Board or, if no Committee has been appointed, the Board (acting by a majority).

Committee. The Compensation Committee of the Company's Board of Directors or such other committee that is designated by the Board of Directors to administer the Plan. In the event that no such Committee exists or is appointed, "Committee" refers to the Company's Board of Directors.

Committee. The Compensation, Management Development and Succession Committee of the Board, any successor committee thereto or any other committee of the Board appointed by the Board to administer the Plan or to have authority with respect to the Plan, or any subcommittee appointed by such Committee. With respect to any provision regarding the grant of Qualifying Performance Awards, the Committee shall consist solely of at least two 'outside directors' as defined under Section 162(m) of the Code

Committee. A committee of two or more independent members of the Board designated by the Employer to administer the NDC Plan on its behalf. If no Committee has been designated, then the Board's Compensation and Management Development Committee shall serve as the Committee.

Committee. The Compensation Committee of the Board or the successor to that committee.

Committee. The committee appointed by the Board of Directors to administer the Plan, as provided in Section 5.4

Committee. The Compensation Committee or any other committee appointed by the Board to administer the Plan pursuant to Section 5 of the Plan. However, with respect to grants made to Independent Directors, the Committee shall mean the Board. Committee. The Compensation and Executive Personnel Committee of the EIX Board of Directors. Where the context requires with respect to officers and other participating employees of Southern California Edison Company, "Committee" shall also mean the Compensation and Executive Personnel Committee of the Southern California Edison Company Board of Directors

Committee. Means the committee of the Board that is provided for in Section 3 of the Plan.

Committee. Means the Compensation Committee of the Board or such other committee established or designated by the Board as responsible for the administration of this Plan, or the Board, to the extent that the Board administers this Plan as described in Article 5.
