Committee

Committee. Shall mean either the Compensation Committee or a SubCommittee of such Committee duly appointed by the Board.

Committee. Means the Compensation Committee of the Board of Managers of Boise Cascade Holdings, L.L.C. or, in the absence of such a committee, the Retirement Committee appointed by such board.

Committee. Means the Compensation and Stock Option Committee appointed by the Board to administer this Plan pursuant to Section 3 hereof.

Committee. Means a committee consisting of at least three (3) Disinterested Persons appointed by the Board to administer the Plan and to perform the functions set forth herein.

Committee. The Management Resources Committee of the Board of Directors, or any successor thereto or committee designated thereby whose members qualify as (a) outside directors as defined in Section 162(m) of the Code and the Treasury Regulations issued pursuant thereto and (b) non-employee directors within the meaning of Rule 16b-3 under the Act.

Committee. Shall mean (i) the Board or (ii) a committee or subcommittee of the Board as from time to time appointed by the Board from among its members. The initial Committee shall be the Board's Compensation and Human Resources Committee. In the absence of an appointed Committee, the Board shall function as the Committee under the Program. Committee. Means the Compensation Committee of the Company and such other committee or subcommittee of the Board, if any, duly appointed to administer the Plan and having such powers in each instance as shall be specified by the Board and as specified in Section 5 of this Plan.

Committee. Shall mean the Stock Option Committee appointed by the Board in accordance with Section 5(a) hereof.

Committee. Means the Compensation Committee of the Company's Board of Directors or such other committee as the Board may designate to perform administrative functions under the Policy.

Shall mean the Compensation and Management Resources Committee of the Board, or a subcommittee thereof, appointed from time to time by the Board, which committee or subcommittee shall be intended to consist of two (2) or more non-employee directors, each of whom shall be a "non-employee director" as defined in Rule 16b-3 and an "outside director" as defined under Section 162(m) of the Code. Notwithstanding the foregoing, if and to the extent that no Committee exists which has the authority to... administer the Plan, the functions of the Committee shall be exercised by the Board.
