Committee

Committee. Means two or more Non-Employee Directors designated by the Board to administer the Plan under Plan Section 3.1 and constituted so as to permit grants thereby to comply with Exchange Act Rule 16b-3 and Code Section 162(m).

Committee. Means the committee described in Section 19 that administers the Plan or, if no such committee has been appointed, the full Board.

Committee. The ConAgra Employee Benefits Committee or any successor thereto. The Committee shall be the named fiduciary as described in ERISA Section 402(a)(2)

Committee. Shall mean the Compensation Committee or any other committee of members of the Board appointed by the Board to administer the Plan and to perform the functions of the Committee as set forth herein.

Committee. The Compensation Committee of the Board, which shall consist during the term of the Plan of not less than two members of the Board, each of whom, at the time of appointment to the Committee and at all times during service as a member of the Committee, shall be an 'independent director' within the meaning of the listing requirements of the primary stock exchange on which the common stock of the Company may then be listed.

Committee. The Compensation Committee of the Board or (except for purposes of Section 12 below and Awards as to which such Section is applicable) such other person(s) or committee to whom it has delegated any authority, as may be appropriate. A person may serve on the Compensation Committee only if he or she (i) is a "Non-employee Director" for purposes of Rule 16b-3 under the Exchange Act, and (ii) satisfies the requirements of an "outside director" for purposes of Section 162(m) of the Code.

Committee. The compensation committee of the Board or a similar committee performing the functions of the compensation committee and which is comprised of not less than two Non-Employee Directors who are independent.

Committee. Means the Compensation Committee of AMD's Board of Directors, or such other committee designated by that Board of Directors, which is authorized to administer the Plan under Section 3 hereof. With respect to payments hereunder intended to qualify as performance-based compensation under Section 162(m) of the Code, the Committee shall be comprised solely of two or more directors who are "outside directors" under Section 162(m) of the Code.

Committee. The Compensation Committee of the Board of Directors of Boise Cascade.

Committee. Shall mean those members of the Compensation Committee of the Board of Directors of the Company who are "non-employee directors" as such term is defined under Rule 16b-3 promulgated under the Securities Exchange Act of 1934, as amended.
