Committee

Committee. A committee of Board members as selected by the Board. If none is selected, then the Compensation Committee of the Board shall constitute the Committee except as required under Section 3.

Committee. Shall mean the Company's Employee Stock Purchase Committee responsible for administering the Plan.

To the extent it is involved in such matters, any Committee must comply with any applicable requirements for any payments under this Plan to qualify as "performance-based compensation" under Section 162(m) with respect to "covered employees" within the meaning of Section 162(m).

Committee. The Nominating and Corporate Governance Committee of the Board or a subcommittee thereof. The Committee shall consist of not fewer than two members of the Board, each of whom shall qualify as a non-employee director under Rule 16b-3 promulgated under the Securities Exchange Act of 1934, or any successor rule
