Committee

Committee. A committee of the Arrow Board, if any, duly authorized to make determinations regarding executive compensation and the terms of their employment.

Committee. Either the Stock Option Committee or the Special Stock Option Committee

Committee. Shall mean a committee of the Board designated by the Board and consisting solely of members of the Board who are not Outside Directors. If all members of the Board are Outside Directors, the Committee shall consist of the entire Board.

Committee. The Compensation Committee of the Board of Directors. References to the Committee under the Plan shall, for all purposes respecting Director Awards, mean exclusively the Board of Directors

Committee. The Compensation Committee of the Company's Board of Directors, or any successor to the Committee

Committee. The Compensation Committee of the Board of Directors of the Company, or its delegate

Committee. The Compensation, Nominating and Governance Committee of the Board or any subcommittee thereof formed by the Compensation, Nominating and Governance Committee to act as the Committee hereunder. For purposes of satisfying the requirements of Section 162(m) of the Code and the regulations thereunder, the Committee shall be comprised solely of two or more 'outside directors' as such term is defined in Section 162(m) of the Code

Committee. Means the Compensation and Management Succession Committee of the Company's Board of Directors.

Committee. The Compensation Committee of the Board of Directors, or such other committee designated by the Board of Directors, designated to administer the Plan under Section 4, which committee shall have at least three members, each of which shall be a Disinterested Person and an Outside Director.

Committee. Means the Compensation and Leadership Development Committee of the Board (or any successor), or such other committee designated by the Board, designated to oversee administration of the Plan.
