Committee

Committee. Means the committee designated and authorized by the Board of Directors to govern and administer and grant options, bonuses and stock issuances under this Plan. If no such committee has been formed, then "Committee" shall refer to the Board of Directors.

Committee. Shall mean the committee of the Board appointed to administer the Plan which shall be comprised of at least three members who shall qualify as "non-employee directors" within the meaning of Rule 16b-3 issued under the Exchange Act and, to the extent determined advisable by the Board, as "outside directors" within the meaning of Section 162(m) of the Code. 1

A committee consisting solely of two (2) or more directors who are Non-Employee Directors (as defined in Rule 16b-3 of the Exchange Act as it may be amended from time to time) of the Company and outside directors as defined pursuant to Section 162(m) of the Code (as it may be amended from time to time) appointed by the Board to administer the Plan and to perform the functions set forth herein. Committee. The Compensation Committee of the Board of Directors of eFunds

Committee. Shall mean the Stock Option Plan Committee of the Board of Directors of the Company, or any other committee appointed by the Board.

Committee. The President of the Company and the members of the Compensation Committee of the Board, or such other committee as may be established by the Board to administer the Plan.

Committee. Shall mean the Executive Committee of the Board, or such other person or persons as may be appointed by the Executive Committee, which shall be the administrative committee for the Plan; PROVIDED, however, that the Neuberger Berman Profit Sharing Committee shall make hardship distribution decisions pursuant to Section 5.

Committee. Means the Board of Directors or, if applicable, the committee or subcommittee designated by the Board of Directors in accordance with the provisions of Section 3 of the Plan.
