Committee

Committee. Means one or more committees or subcommittees of the Board appointed by the Board to administer the Plan in accordance with Section 4 below.

Committee. Shall mean the Management Development and Compensation Committee of the Board.

Committee. Means a committee of two or more directors designated by the Board to administer the Plan; provided, however, that, unless otherwise determined by the Board, the Committee shall consist solely of two or more Qualified Members.

Committee. With respect to any matter relating to Section 8 of the Plan, the Board, and with respect to all other matters under the Plan, the Compensation Committee of the Board.
