Committee

Committee. Shall mean the members of Company management to whom the Compensation Committee, by specific act or practice, has delegated responsibility for administering this Plan.

Committee. The Board's Committee on Compensation and Organization or such other committee of the Board designated by the Board to administer the Plan.

Committee. The Compensation Committee of the Board, or such other committee of the Board appointed by the Board to administer all or any specified portion of the Plan.

Committee. Shall mean the Compensation Committee or any other committee or subcommittee designated by the Board to administer the Plan.

Committee. Shall mean the individual or group of individuals designated pursuant to Section 3 of the Plan to control and manage the operation and administration of the Plan to the extent set forth therein.

Committee. Means the Management Resources Committee of the Board of Directors of the Corporation, or any successor thereto or committee designated thereby.

Committee. Shall mean the Compensation Committee of the Board. Any function of the Committee may be delegated to the Administrator. In the absence of any such delegation, the Committee shall be treated as the Administrator.

Committee. Shall mean a committee of Directors designated by the Board of Directors to administer the Plan, which shall initially be the Company's compensation committee. The Committee shall be comprised such individuals selected by the Board of Directors, which may include Directors or Advisory Directors.

Committee. Means the Committee appointed by the Board in accordance with Paragraph (a) of Section 4 of the Plan, if a Committee is appointed. If, with respect to any individual grant of Options under this Plan, any member or members of the Committee would cause such Committee not to satisfy the disinterested administration requirement of Rule 16b-3, as then applicable to the Company under the Act, or the "outside director" administration requirement of Code Section... 162(m)(4)(C) and the regulations thereunder, then in such event the Committee shall be comprised of the Committee without such member or members.
