Committee

Committee. A committee consisting of members of the Board authorized to administer the Plan

Committee. Two or more Non‐Employee Directors designated by the Board to administer the Plan under Section 3, each member of which shall be (i) an independent director within the meaning of the rules and regulations of the Nasdaq Stock Market, and (ii) a non-employee director within the meaning of Exchange Act Rule 16b-3. Notwithstanding the foregoing, the Board shall perform the duties and have the responsibilities of the Committee with respect to Awards made to Non-Employee Directors

Committee. The Benefits Administrative Committee under the Base Plan.

Committee. The Compensation Committee of the Board or its delegate appointed to administer certain aspects with respect to the Plan pursuant to Section 3.

Committee. The Compensation Committee of the Board of Directors of RSI constituted as provided in Section 5 of this Plan

Committee. The Stock Option Committee, or such other committee of the Board, which may be designated by the Board to administer this Option. The Committee shall be composed of two or more directors as appointed from time to time to serve by the Board. In the absence of a Committee, the functions of the Committee shall be performed by the Board

Committee. The Restricted Stock Committee, or such other committee of the Board as may be designated by the Board to administer this Restricted Stock Purchase Agreement. The Committee shall be composed of two or more directors as appointed from time to time to serve by the Board. In the absence of a Committee, the functions of the Committee shall be performed by the Board

Committee. The Compensation Committee of the Board, which shall consist solely of two or more members of the Board, each of whom shall be independent, as defined by the Nasdaq Marketplace rules or the rules of any other national securities exchange on which any securities of the Company are listed for trading, and if not listed for trading, by the Nasdaq Marketplace rules

Committee. Means the Compensation Committee of the Board, or the successor of such Committee, which satisfies the requirements of Section 8(a) hereof.
