Committee

Committee. The Compensation Committee of the Board of Directors of the Company or, in the absence of a Compensation Committee, the full Board of Directors

Committee. The Compensation Committee of the Board, or a subcommittee of that committee, consisting of no less than two directors, all of whom shall qualify as "independent directors" within the meaning of Rule 303A of the New York Stock Exchange, as "outside directors" within the meaning of Section 162(m) of the Code, and as "non-employee directors" within the meaning of Rule 16b-3 under the Exchange Act

Committee. The Compensation and Executive Organization Committee of the Board or any successor committee having similar authority.
