Committee

Committee. Means the committee appointed by the Board to administer the Plan, which shall consist solely of two or more "Outside Directors" in accordance with Code Section 162(m), or solely of two or more "Non-Employee Directors," in accordance with Rule 16(b)-3 of the Exchange Act.

Committee. Means a committee of Directors or of other individuals satisfying Applicable Laws appointed by the Board in accordance with Section 4 hereof. Amended and Restated La Rosa Holdings Corp. 2022 Equity Incentive Plan 2

Committee. Shall mean the committee of the Board consisting solely of two or more non-employee directors designated by the Board as the committee responsible for administering and interpreting the Plan.

Committee. Shall mean the Compensation Committee of the Board, composed of no fewer than three directors, each of whom is a Non-Employee Director and an "outside director" within the meaning of Section 162(m) of the Code.

Committee. Means the Committee appointed by the Board of Directors in accordance with Section 4(a) and (b) of the Plan.

Committee. The Compensation Committee of the Board or other committee of the Board as the Board may designate to have responsibility for administration of this Plan. In the event the Board does not designate a committee as responsible for the administration of this Plan, the references herein to Committee shall refer to the Board.

Committee. The Compensation Committee of the Company's Board of Directors (the "Committee")

Committee. Means the Board or any committee of the Board that the Board may designate to administer the Plan or any portion thereof. If no Committee is so designated, then all references in this Plan to "Committee" shall mean the Board.

Committee. Means the Compensation Committee of the Board or another committee appointed by the Board to administer the Plan in accordance with Section 4(a) below.

Committee. Shall mean the committee appointed by the Board of Directors to administer this 2017 Plan in accordance with Section 17.
