Committee

Committee. Means the Board or the committee designated or established by the Board to administer the Plan, the composition of which shall at all times satisfy the provisions of Rule 16b-3 and may satisfy the provisions of Section 162(m)(4)(C)(i) of the Code.

Committee. Either the Board, the Compensation Committee of the Board, or such other committee of the Board as the Board may from time to time designate to exercise the powers conferred upon "the Committee" by the Plan

Committee. The Board or a committee of the Board, whichever is then authorized to administer this Plan by a resolution of the Board

Committee. The Compensation Committee of the Board, or any successor committee thereto, and/or such other committee of the Board as is appointed or designated by the Board to administer the Plan (or any part hereof) or is otherwise identified in the Company's corporate governance documents as being responsible for determining the compensatory arrangements of certain Participants.

Committee. The committee designated by the Board pursuant to Paragraph 13(a) below to administer this Plan

Committee. Means a committee of one or more members of the Board appointed by the Board pursuant to the Plan.

Committee. The Compensation Committee (if composed entirely of independent directors) of the Board, or, in the absence of such a committee, a majority of the independent directors serving on the Board

Committee. Means the Compensation Committee of the Board or such other Board committee designated by the Board in accordance with the Plan.

Committee. The Personnel and Compensation Committee of the Board of Directors of the Company.

Committee. Those members of the Compensation Committee of 3M's Board of Directors who qualify as outside directors for purposes of Section 162(m) of the Internal Revenue Code
