Committee

Committee. The committee appointed by the Board to administer this Plan. Unless otherwise determined by the Board, the Compensation and Corporate Governance Committee of the Board shall be the Committee

Committee. Means the committee charged, pursuant to the provisions of the Plan, with the administration of the Plan. Unless otherwise determined by the Board, the Compensation Committee of the Board shall be the Committee

Committee. The Organization and Compensation Committee of the Board of Directors of the Company or any subcommittee thereof.

Committee. The committee or committees established by the Board in accordance with Section 3(c). All references herein to "Committee" shall be deemed to be to the Board when the Board has not established the Committee pursuant to Section 3(c)

Committee. The Nominating and Compensation Committee of the Board or such other committee of the Board as is designated by the Board to administer certain portions of the Plan

Committee. Means the Nominating and Compensation Committee of Syntroleum's Board of Directors.

Committee. The Compensation Committee of the Board, or such other Board committee as may be designated by the Board to administer the Plan, or any subcommittee of either; provided, however, that the Committee, and any subcommittee thereof, shall consist of two or more directors, each of whom is a "disinterested person" within the meaning of Rule 16b-3 under the Exchange Act and an "outside director" within the meaning of Section 162(m) of the Code.

Committee. The Compensation Committee as appointed from time to time by the Board, which shall consist solely of two or more persons who qualify as "Non-Employee Directors" under Rule 16b-3 of the Securities and Exchange Commission and as "Outside Directors" under Section 162(m) of the Internal Revenue Code of 1986

Committee. The Compensation Committee as appointed from time to time by the Board, and which shall consist of two or more 'non-employee directors' as that term is defined in Rule 16b-3 of the Act.

Committee. Means the Compensation Committee or a sub-committee thereof appointed by the Compensation Committee to administer the Plan.
