Consultant

Consultant. Means any person (other than an Employee or a Director, solely with respect to rendering services in such person's capacity as a Director) who is engaged by the Company, any member of the PC Mall Group or any Related Entity to render consulting or advisory services to the Company, such member of the PC Mall Group or such Related Entity.

Consultant. Shall mean any person who is engaged by the Company, Parent, or any Subsidiary to render consulting services and is compensated for such consulting services or any other person determined by the Board to have performed services for or on behalf of the Company which merits the grant of an Award, and any director of the Company whether compensated for such services or not.

Consultant. Means any individual who renders services to the Company or any of its Subsidiaries as a consultant or other type of independent contractor.

Consultant. Means any person, including an advisor, engaged by the Company or a Parent or Subsidiary to render services to such entity; provided however, that an individual providing services only as a Director shall not be considered a Consultant.

Consultant. Means any person or entity who is engaged by the Company or any Related Entity to render consulting or advisory services to the Company or such Related Entity, including, but not limited to, a Venture Capital Entity that makes available an individual to serve as a Director.

Consultant. Means any individual, including an advisor, engaged by the Company (or a Parent or Subsidiary of the Company) to render consulting or advisory services and who is compensated for such services.

Consultant. Shall mean any person who is placed on the Company's Consultants List by the Board and who agrees in writing to be included thereon.

Consultant. Means any person, including an advisor, who renders services to the Company, or any Parent or Subsidiary, and is compensated for such services, and any director of the Company whether compensated for such services or not, and who qualifies as a "consultant or advisor" under the rules applicable to Form S-8 (promulgated under the Securities Act of 1933, as amended) as such Form may be amended from time to time (or pursuant to any successor form thereto).

Consultant. Means any person other than a Director or Employee (i) who acts as a consultant or advisor to the Company or an Affiliate and who is compensated for such services or (ii) who serves as a member of the Board of Directors of an Affiliate and who is compensated for such services. 2

Consultant. Shall mean any person, performing services for the benefit of the Corporation (or of any Affiliate of the Corporation) as an independent consultant or advisor; provided, however, that directors who receive only directors' fees are not Consultants.
