Consultant

Consultant. Means any person, including an advisor, who (I) is a ---------- natural person, (ii) provides bona fide services to the Company or a Parent or Subsidiary, and (iii) provides services that are not in connection with the offer or sale of securiteis in a capital-raising transaction, and that do not directly or idirectly promote or maintain a market for the securities of the Company.

Consultant. Means a specialized service provider engaged by Deel Group as an independent contractor or employee at Customer's request, as identified in the applicable Work Order (as defined below), to assist in the Project.

Consultant. Any natural person engaged by a member of the Company Group to render bona fide services to such entity, provided the services (i) are not in connection with the offer or sale of securities in a capital raising transaction, and (ii) do not directly promote or maintain a market for the Company's securities. A Consultant must be a person to whom the issuance of Shares registered on Form S-8 under the Securities Act is permitted.

Consultant. Means any natural person (other than an Employee or Manager), including an advisor, who provides bona fide services to the Company, its parents, its majority-owned subsidiaries or majority-owned subsidiaries of the Company's parent, if such services are not in connection with the offer or sale of securities in a capital-raising transaction, and do not directly or indirectly promote or maintain a market for the Company's securities.

Consultant. Means any person, including any advisor, engaged by the Company or any of its Subsidiaries to renders services to such entity.
