Example Definitions of "Consultant"
Consultant. An individual who is not a Director or an employee of the Corporation or a parent or subsidiary of the Corporation, and who has entered into a consulting or advisory arrangement with the Corporation or a parent or subsidiary of the Corporation to provide bona fide services that (i) are not in connection with the offer or sale of securities in a capital-raising transaction, and (ii) do not directly or indirectly promote or maintain a market for the Corporation's securities
