Consultant

Consultant. Means any person (i) engaged full-time or part-time by the Company or an Affiliate of the Company to render consulting or advisory services and who is compensated for such services, or (ii) who is a member of the board of directors of an Affiliate of the Company.

Consultant. An independent contractor providing services to the Company who has been specifically authorized by the Committee to participate in the Plan.

Consultant. Means any person, who is not an Employee, performing advisory or consulting services for the Company, with or without compensation, provided that bona fide services must be rendered by such person and such services shall not be rendered in connection with the offer or sale of securities in a capital raising transaction.

Consultant. Any professional advisor to the Company or its Subsidiaries as well as any employee, officer or director of a corporation that serves as an advisor, consultant or independent contractor to the Company or its Subsidiaries.
