Consultant

Consultant. Any Person who provides consulting or other services to the Company or any Affiliate and who is (i) neither an Employee nor a Non-Employee Director and (ii) may be offered securities registrable pursuant to a registration statement on Form S-8 under the Securities Act.

Consultant. Any individual engaged by the Company or an Affiliate to render consulting or advisory services, and who is compensated for such services, or who is a member of the Board of Directors of an Affiliate. For clarity, the term Consultant shall not include a Director who is not compensated by the Company other than by way of fees and other compensation for his or her service as a Director

Consultant. Shall mean any person, including a Director, who is engaged by the Company or any Subsidiary or affiliate thereof, to render services to or for the benefit of the Company and is compensated for such services.

A natural person providing bona fide services to the Company or one of its Subsidiaries, or a natural person providing such services through a wholly-owned corporate alter-ego; provided, that, such services are not in connection with the offer or sale of securities in a capital-raising transaction, and do not directly or indirectly promote or maintain a market for the Company's stock
