Example Definitions of "Conversion Shares"
Conversion Shares. Means the shares of Common Stock of the Company issuable upon full conversion of the unpaid Outstanding Principal Amount of the Note at the applicable Conversion Price in effect at the time of such conversion.
Conversion Shares. Means: (a) With respect to a conversion of the Note upon a Financing pursuant to Section 2, shares of preferred stock having the same powers, designations, preferences and rights as shares of the preferred stock issued in the Financing, other than with respect to (i) the per share liquidation preference, which will equal the Conversion Price; (ii) the initial conversion price for purposes of price- based anti-dilution protection, which will equal the Conversion Price; and (iii)... the basis for any dividend rights, which will be based on the Conversion Price; (b) With respect to a conversion of the Note upon a Change of Control pursuant to Section 3 or upon an IPO pursuant to Section 4, shares of the Company's common stock; and (c) With respect to a conversion of the Note upon Maturity pursuant to Section 5, shares of preferred stock having the same powers, designations, preferences and rights as shares of the most senior series of preferred stock of the Company, other than with respect to (i) the per share liquidation preference, which will equal the Conversion Price; (ii) the initial conversion price for purposes of price- based anti-dilution protection, which will equal the Conversion Price; and (iii) the basis for any dividend rights, which will be based on the Conversion Price. Conversion Shares. Shall mean shares of Common Stock issued, or issuable, pursuant to the terms of the Convertible Note.
Conversion Shares. Means the aggregate of the First Conversion Shares and the Second Conversion Shares.
Conversion Shares. Shall have the meaning ascribed to such term in the PubCo Senior Secured Convertible Debenture.
Conversion Shares. Has the meaning given it in the recitals of this Agreement.

Conversion Shares. Shall mean the shares of Common Stock issued upon conversion of the Convertible Preferred Shares and shall also include any securities issued upon exchange, adjustment or transfer of any such shares, the certificates for which are required by the provisions of Section 2 hereof to bear the legend set forth in such Section.
