Covered Employee

Covered Employee. Means an Employee who is a "covered employee" under Section 162(m)(3) of the Code.

Covered Employee. An individual who with respect to a Performance Period is a 'covered employee' within the meaning of Section 162(m)(3) of the Code.

Covered Employee. A person who is, or is determined by the Committee to likely become, a "covered employee" (as defined in Section 162(m)(3) of the Code)

Covered Employee. For any Plan Year, the Company's Chief Executive Officer (or individual acting in such capacity) and any employee of the Company or its subsidiaries who, in the discretion of the Committee for purposes of determining those employees who are 'covered employees' under Section 162(m) of the Internal Revenue Code, is likely to be among the four other highest compensated officers of the Company for such Plan Year

Covered Employee. The chief executive officer, the chief financial officer and the three most highly compensated officers of the Corporation (other than the chief executive officer and the chief financial officer) who are defined as covered employees under code Section 162(m) of the Code

Covered Employee. A person designated by the Committee as likely, with respect to a given fiscal year of the Company, to be the Chief Executive Officer or one of the other persons who will be named executive officers whose compensation potentially will be subject to the limitations on tax deductibility under Code Section 162(m) for that year (or a later year in which an Award may be settled). This designation generally is required at the time an Award Opportunity is granted

Covered Employee. Means a Grantee who is a Covered Employee within the meaning of Section 162(m)(3) of the Code.

Covered Employee. An Employee who is a 'covered employee' within the meaning of section 162(m) of the Code, and the rules and regulations thereunder

Covered Employee. With respect to any grant of an Option or Award, a Participant who (a) the Compensation Committee deems may be or become a covered employee as defined in Section 162(m)(3) of the Code for any year that such Option or Award may result in remuneration to the Participant and for which year such Participant may receive remuneration over $1 million which would not be deductible under Section 162(m) of the Code but for the provisions of the Plan and any other "qualified performance-based... compensation" plan (as defined under Section 162(m) of the Code) of the Company; provided, however, that the Compensation Committee may determine that a Participant has ceased to be a Covered Employee prior to settlement of any Option or Award or (b) is designated as a Covered Employee for purposes of the Plan.
