Covered Employee

Covered Employee. A Participant who is a "covered employee" within the meaning of Code Section 162(m) and the Treasury regulations promulgated thereunder with respect to any Performance Period

Covered Employee. Means a Participant who the Committee determines is or may become a covered employee within the meaning of Code Section 162(m) during the performance period for a Performance Grant.

Covered Employee. A "covered employee" within the meaning of Section 162(m) of the Code and the regulations thereunder

Covered Employee. An Eligible Person who is (i) a "covered employee" within the meaning of Section 162(m) or (ii) designated by the Committee, at the time of grant of a Performance Award or at any subsequent time, as reasonably expected to be a "covered employee" with respect to the taxable year of the Company in which any applicable Award will be paid.

Covered Employee. An individual who is, with respect to the Company, an individual defined in Code Section 162(m)(3).

Covered Employee. Any Employee who is or may be a "covered employee," as defined in Section 162(m) of the Code

Covered Employee. Any Employee who is or may become a "Covered Employee," as defined in Section 162(m) of the Code, and who is designated, either as an individual Employee or class of Employees, by the Committee within the shorter of: (a) ninety (90) days after the beginning of any Performance Period, or (b) twenty-five percent (25%) of any Performance Period has elapsed, as a "Covered Employee" under this Plan for such applicable Performance Period.

Covered Employee. Any Eligible Employee who (i) as of the close of the taxable year, is the chief executive officer of the Company or is an individual acting in that capacity, (ii) the total compensation of the employee for the taxable year is required to be reported to shareholders under the executive compensation disclosure rules under the Exchange Act, or (iii) is otherwise a "covered employee" for purposes of Section 162(m) of the Code.

Covered Employee. Any Service Provider who would be considered a 'covered employee' within the meaning of Section 162(m) of the Code

Covered Employee. A "covered employee" as determined for purposes of Section 162(m) of the Code, which, for purposes of clarity, currently includes the Company's chief executive officer and the four (4) other highest compensated officers of the Company (other than chief financial officer) for whom total compensation is required to be reported to stockholders under the Exchange Act
