Covered Employee

Covered Employee. Any Key Employee who is or is reasonably expected to be a 'covered employee' under Section 162(m) of the Code

Covered Employee. An Employee who is, or is determined by the Committee may become, a covered employee within the meaning of Code Section 162(m)

Covered Employee. A person who is or is likely to become a "covered employee" as defined in Section 162(m)(3) of the Code

Covered Employee. Any employee of the Company who is a covered employee as within the meaning of Section 162(m)(3) of the Code

Covered Employee. Any employee who is designated by the Committee at the time of any Award or at any subsequent time as reasonably expected to be a "covered employee" as defined in Section 162(m) of the Code and related regulations, or any successor statute, and related regulations.

Covered Employee. A Key Person of the Company or a Subsidiary who is subject to Code Section 162(m).

Covered Employee. An individual who is determined by the Committee to be reasonably likely to be a "covered employee" under Section 162(m) of the Code as of the end of the Company's taxable year for which an Award to the individual will be deductible and whose Award would exceed the deductibility limits under Section 162(m) if such Award is not Performance-Based Compensation

Covered Employee. Shall have the meaning provided in Section 162(m)(3) of the Code and the regulations promulgated thereunder.

Covered Employee. A Participant determined by the Committee to be likely to be a named executive officer of the Company in the year compensation under the Plan will become payable and whose compensation in that year likely could be non-deductible under Section 162(m) of the Internal Revenue Code, such that the Committee has determined that compensation to such Participant under the Plan should qualify as 'performance-based compensation' for purposes of Section 162(m)
