Covered Shares

Covered Shares. Means shares of the Company's Common Stock granted under this Agreement and are subject to the terms of this Agreement and the Plan. The number of 'Covered Shares' granted to you under this Agreement is the number of shares of the Company's Common Stock specified in correspondence that you received from the Company on or about [Date].

Covered Shares. The Shares subject to the Option.

Covered Shares. 177,209 shares of Common Stock, subject to adjustment pursuant to, and in accordance with, Section 4 hereof.

Covered Shares. Means, with respect to any Holder, the shares of Parent Common Stock set forth opposite such Holder's name on Exhibit A hereto, together with any other shares of Parent Common Stock or other equity interests of Parent acquired by such Holder or with respect to which such Holder otherwise becomes entitled to exercise voting power during the Restricted Period, including any shares of Company Parent Common Stock issued upon the exercise of any warrants or other derivative securities of Parent. Covered Shares. Shall mean, with respect to any Shareholder as of any time of determination, all Company Shares (including Company Shares represented by Company ADSs) of which such Shareholder is the registered and/or beneficial owner (including, for the avoidance of doubt, any Company Shares or Company ADSs acquired as a result of the vesting, settlement or exercise of any Company Equity Awards).

Covered Shares. A Continuing Partner's "Covered Shares" shall mean (i) any shares of Preferred Stock issued to the Continuing Partner upon closing of the transactions contemplated by the Business Amalgamation Agreement by and among the Company, Hewitt Holdings LLC and the Continuing Partners (the "Business Amalgamation Agreement), and (ii) any shares of Common Stock issued upon exercise of the put and call rights of the Preferred Stock. Covered Shares. The Shares of Restricted Stock defined as the "Covered Shares" on page 1 [the Notice of Grant page].

Covered Shares.
