Covered Shares

Covered Shares. Means (i) any shares of Common Stock issued to the Shareholders pursuant to the Investment Agreements, (ii) any shares of Common Stock acquired by the Shareholders in addition to those referred to in clause (i) after the date of this Agreement and prior to the date of an Initial Public Offering and (iii) any Common Stock issued or issuable with respect thereto upon any stock dividend, split, recapitalization or similar event.

Covered Shares. The Ordinary Shares subject to the Option

Covered Shares. Means, with respect to Parent, Parent's Existing Shares, together with any Company Common Shares that Parent becomes the Record Holder or beneficial owner of on or after the date hereof.

Covered Shares. Means, with respect to any Covered Stockholder, (i) all Shares set forth opposite such Covered Stockholder's name on Schedule 1(b) attached hereto, and (ii) all Shares that such Covered Stockholder comes to hold and to be entitled to vote (or direct the voting of) during the period from the date of this Agreement through the Expiration Date, together with any voting securities or instruments of the Company, or other equity interests exercisable for or convertible into Shares, that such Covered... Covered Shares. Means, with respect to any Stockholder as of any time of determination, all shares of common stock, par value $0.0001 per share, of the Company ('Common Stock'), of which such Stockholder is the record and/or 'beneficial owner' (within the meaning of Rule 13d-3 under the Exchange Act) at such time, including, for the avoidance of doubt, any shares acquired as a result of the vesting, settlement or exercise of any Company Equity Awards.

Covered Shares. Shall mean the Shares and the Newly Acquired Shares, if any.

Covered Shares. Covered Shares.
