Disinterested Director

Example Definitions of "Disinterested Director"
Disinterested Director. A director of the Corporation who is not and was not a party to the Proceeding for which indemnification or hold harmless or exoneration rights is sought by Indemnitee.
Disinterested Director. Means a director of CCO who is not (at the time of the vote) and was not a party to the Proceeding in respect of which indemnification is sought by Indemnitee.
