Disinterested Director

Example Definitions of "Disinterested Director"
Disinterested Director. A director of the Company who is not and was not a party to, nor an officer, director or partner of a party to, the Proceeding in respect of which indemnification is sought by Indemnitee.
Disinterested Director. Means a director of the Company who is not and wash riot a party to the Proceeding in respect of which indemnification is sought by Indemnitee.
Disinterested Director. Means a director of the Company who was a director of the Company at the time of the occurrence giving rise to the Proceeding in respect of which indemnification is being sought by the Indemnitee and who is not at the time action is to be taken under this Agreement a party to such Proceeding.
Disinterested Director. A director of the Company who is both "disinterested" and "independent" as such terms are defined in Sections 1.003 and 1.004 of the Texas Business Organizations Code.
Disinterested Director. Means a member of the Board who does not have, directly or indirectly, a pecuniary or personal interest in the transaction to be approved, other than as a holder of Common Stock or Class C Common Stock.

Disinterested Directors considering or acting on any indemnification matter under this Agreement or under governing corporate law or otherwise may consider or take action as the Board of Directors or may consider or take action as a committee or individually or otherwise.
Disinterested Director. An Independent Director who, with respect to the relevant action to be taken under this Agreement, is a disinterested director (as such term is used in Section 1701.60 of the Ohio Revised Code)
