Disinterested Director

Example Definitions of "Disinterested Director"
Disinterested Director. The term "Disinterested Director" means a director of the Corporation who is not and was not a party to the matter in respect of which indemnification is sought by the claimant.
Disinterested Director. Means a director of the Company who is not and was not a party to, and does not control a party outside the Enterprise that is party to, the Claim in respect of which indemnification is sought by Indemnitee.
Disinterested Director. Means a director of the Company who is not and was not a party to the Proceeding with respect to which indemnification is sought by Indemnitee.
Disinterested Director. Means a director of the Company who is not and was not a party to the Proceeding in respect of which indemnification is sought by Indemnitee and who is not subject to any other relationship that may reasonably prejudice such director's determination as to the Indemnitee's entitlement to indemnification hereunder.
