Distribution Date

Distribution Date. Notwithstanding anything in this Agreement to the contrary, a Distribution Date shall be deemed not to have occurred notwithstanding (i) the execution or delivery of the Merger Agreement, (ii) the announcement of the Merger, the Offer, or the Top-Up Option, or (iii) the consummation of the Merger or of the other transactions with Parent or any of its Affiliates contemplated by the Merger Agreement, including the Offer and the Top-Up Option.

Distribution Date. Shall mean the date determined by the Committee for the settlement of Performance Units following a Payout Event, which shall occur within the two and one-half months following the last day of the year in which such Payout Event occurs.

Distribution Date. The single date on which the Hyatt Spin-off and the Classic Spin-Off are effected by Holding.

Distribution Date. The date or dates elected pursuant to subsections 2.03 or 2.04 hereof for payment of amounts in any Subaccount; provided, however, that no Distribution Date shall be more than 10 years and 90 days after the last day of the Fee Period for the Incentive Fee or Management Fees, respectively, which were credited to the Incentive Fee Account or Management Fee Account with respect to which such Subaccount was established
