Example Definitions of "Eligible Director"
Eligible Director. A person who is (i) with respect to actions intended to obtain an exemption from Section 16(b) of the Exchange Act pursuant to Rule 16b-3 under the Exchange Act, a non-employee director within the meaning of Rule 16b-3 under the Exchange Act; and (ii) with respect to actions intended to obtain the exception for performance-based compensation under Section 162(m) of the Code, an outside director within the meaning of Section 162(m) of the Code
Eligible Director. A Non-Employee Director.
Eligible Director. A member of the Board, elected or appointed, who is not also an employee of the Company or any of its Subsidiaries or Affiliates. An individual who is elected to the Board at an annual meeting of the shareholders of the Company shall be deemed to be a member of the Board as of the date of such meeting
Eligible Director. A member of the Board who is not an active employee of the Company or an affiliate and who is designated by the Board as eligible to participate in the Plan.
