Employee

Employee. Any person in an employment relationship with the Company or any Affiliate. The payment of a Director's fee by the Company shall not be sufficient in and of itself to constitute employment by the Company.

Employee. Any person, including an Officer or Director, who is in the employ of the Company, DSP Group, Inc. or any Related Entity, subject to the control and direction of the Company, DSP Group, Inc. or any Related Entity as to both the work to be performed and the manner and method of performance. Employee. Shall mean any person who is employed on a salary basis by the Company or an Adopting Subsidiary.

It is expressly intended that persons not employed as common law employees on the CarMax Company's United States payroll are to be excluded from participation in the Plan, even if a court or administrative agency determines that such individuals are common law employees and not independent contractors.
