Employee. Means any person, including an officer, who is in the employ of the Company or their affiliates, and is subject to the control and direction of the Company or their affiliates as to both the work to be performed and the manner and method of such performance.

Any person, including an officer or Director, who is an employee of the Company or any Subsidiary, or is a prospective employee of the Company or any Subsidiary (conditioned upon, and effective not earlier than, such person becoming an employee of the Company or any Subsidiary).
