Exchange Act

Exchange Act. Means the Securities Exchange Act of 1934, as amended, and the regulations promulgated thereunder. 14 "GAAP" means United States generally accepted accounting principles as in effect from time to time, consistently applied.

Exchange Act. Shall mean the Securities Exchange Act of 1934, as amended, and the rules and regulations of the Commission promulgated thereunder, or any successor rules and regulations thereto that may be adopted by the Commission.

Exchange Act. Means the United States Securities Exchange Act of 1934, as amended. 13 17.15. "Excess Parachute Payment" has the meaning assigned to that term in Q/A-3 (note that although initial capital letters are used on this term in this Agreement, the Q/As do not use initial caps for this term).

Exchange Act. Means the Securities Exchange Act of 1934 or any similar law of any country other than the United States, each as amended, or any successor law then in force.

Exchange Act. Shall mean the Securities Exchange Act of 1934 and the rules and regulations of the Commission thereunder, and any successor to such statute or such rules and regulations.

Exchange Act. Shall mean the Securities Exchange Act of 1934, as in effect on the date in question, unless otherwise specifically provided.

Exchange Act. Shall have the meaning set forth in paragraph 8(a).

Exchange Act. Shall mean the Securities Exchange Act of 1934, as amended. 2 "Fair Market Value" shall mean, unless the Administrator determines otherwise, as of any date, the average of the highest and lowest quoted sales prices for such Common Stock as of such date (or if no sales were reported on such date, the average on the last preceding day on which a sale was made), as reported in such source as the Administrator shall determine.

Exchange Act. Means Securities Exchange Act of 1934, as amended from time to time.
