Expiration Date. The date that is the later of (x) the fifth (5th) anniversary of the Initial Issuance Date and (y) the fifth (5th) anniversary of the latest to occur Warrant Share Adjustment Date, or, in each case, if such date falls on a day other than a Business Day or on which trading does not take place on the Principal Market (a 'Holiday'), the next date that is not a Holiday.
