Filing Deadline. Filing Deadline. Means the earlier of (i) one hundred ten (110) days after the Closing Date and (ii) five (5) Business Days after the later of (A) the date the Company obtains the Stockholder Approval or (B) the date the Company files audited financial statements for Media Defender, Inc. on a Form 8-K/A as required by the 1934 Act (as defined herein).

Filing Deadline. Means the Initial Filing Deadline, an Additional Warrant Share Registration Filing Deadline or a Demand Registration Filing Deadline, as applicable.

Filing Deadline. Means the Initial Filing Deadline, the Conditional Filing Deadline, a Replacement Warrant Filing Deadline, an Additional Filing Deadline, an Additional Conditional Filing Deadline or an Additional Replacement Warrant Filing Deadline (each as defined below), as applicable.

Means, with respect to the Initial Registration Statement required to be filed pursuant to Section 2(a), the 90th calendar day following the date on which Purchaser informs the Company that Purchaser has first exceeded the Beneficial Ownership Threshold, provided, however, that if the Filing Deadline falls on a Saturday, Sunday or other day that the Commission is closed for business, the Filing Deadline shall be extended to the next Business Day on which the Commission is open for business.

Filing Deadline. Means the date that is 60 days following the conversion of (a) all of the issued and outstanding May 2024 Preferred Stock into May 2024 Shares, (b) all of the issued and outstanding September 2024 Preferred Stock into September 2024 Shares and (c) all of the issued and outstanding March 2025 Preferred Stock into March 2025 Shares.

Filing Deadline. Means the thirtieth (30th) Business Day following the date hereof
