Financial Statements. For or as of the end of the fiscal period specified therein, balance sheets, profit and loss statements, statements of cash flows, statement of capital accounts, and reconciliations of net worth, in each case together with all notes and schedules thereto, prepared in reasonable detail and in accordance with generally accepted accounting principles applied consistently with past periods, as fairly presenting the financial condition, results of operations, and ... changes in Borrower's or Guarantors' financial position, as the case may be. Financial Statements. Shall mean the (i) Balance Sheets of Seller as of December 31, 1998 and 1999 and March 31, 2000, and (ii) statements of income and changes in financial position of the Seller for the twelve month periods ended December 31, 1998 and 1999, and the three months ended March 31, 2000, together with the unqualified audit opinion of Margolin, Winer & Evens, LLP with respect to the December 31, 1998 and 1999 Financial Statements.
