First Commercial Sale

First Commercial Sale. The date on which Licensee transfers a Licensed Product for compensation (including equivalent cash value for trades or other non-cash payments).

First Commercial Sale. Shall mean, with respect to any Product, the first sale for use or consumption by the general public of such Product in a country in the Territory after all required marketing and pricing approvals have been granted, or otherwise permitted, by the governing health authority of such country. "First Commercial Sale" shall not include the sale of any Product for use in clinical trials or for compassionate use.

First Commercial Sale. Means the first sale of Product in the Territory, after Regulatory Approval, by ALS or its Affiliates (or their sublicensee(s)) to any unaffiliated third party as evidenced by the selling party's invoice or other relevant document provided to such third party. A sale to an unaffiliated third party shall not include quantities delivered solely for research purposes, for clinical trials or quantities distributed as free samples or promotions.

First Commercial Sale. Means the first shipment of commercial quantities of any Licensed Product sold to a Third Party by a Party, its Affiliate or Sublicensee in any country after receipt of Marketing Authorization Approval for such Licensed Product in such country. Sales for test marketing, sampling and promotional uses or clinical trial or research purposes or compassionate uses shall not be considered to constitute a First Commercial Sale.

First Commercial Sale. The first sale of the Product by Intrexon, its sublicensee or their respective Affiliates to customers who are not Affiliates in any country after all applicable marketing approvals (if any) have been granted by the applicable governing health authority

First Commercial Sale. With respect to the Licensed Product the first commercial sale to a third party, in exchange for cash or some equivalent to which value can be assigned, after the obtaining of all necessary regulatory and other approvals required in order to commercially sell and market the Licensed Product in the country in which the sale is made, other than the sale of the Licensed Product for experimental, testing, compassionate or promotional purposes. First Commercial Sale. Shall mean, with respect to any Royalty-Bearing Product, the first sale for end use or consumption of such Royalty-Bearing Product in a country after the governing health regulatory authority of such country has granted regulatory approval of such Royalty-Bearing Product

First Commercial Sale. Shall mean the first sale of Approved Commercial Product to an end user or hospital.

First Commercial Sale. Means, with respect to any Product, the first sale of such Product to a Third Party in any country of the Territory after such Product has been granted Regulatory Approval by the competent Regulatory Authorities in such country.
