Holder

Holder. Shall mean any security holder of Ardent to whom Registrable Securities are issued pursuant to the Merger Agreement.

Holder. Or "HOLDERS" means the Seller and the shareholders (the "Selling Shareholders") in whose name the Purchase Shares are issued at Closing pursuant to Section 1.2(a)(ii) of the Purchase Agreement.

Holder. Shall mean holder(s) of Warrants.

Holder. Means, with respect to any Award, (i) the person to whom such Award shall have been granted under the Plan, or (ii) any transferee of such Award to whom such Award shall have been transferred in accordance with the provisions of Sections 7.7, 8.3(e) or8.3(f). -3-

Holder. Means any holder of outstanding Registrable Securities who is (i) a Company Shareholder; or (ii) any person to which the registration rights provided for in this Agreement shall have been properly assigned or otherwise transferred in accordance with Section 9 hereof.

Holder. Means a holder of record of Series A Preferred Stock.

Holder. Means the holders from time to time of the Series A Preferred Stock and the Registered Preferred Stock received in exchange for the Series A Preferred Stock. 2
