Example Definitions of "Initial Public Offering"
Initial Public Offering. A public offering of Common Stock pursuant to a registration statement filed with, and declared effective by, the Securities and Exchange Commission other than on Forms S-4 or S-8 (or successors thereto), upon the consummation of which the shares so registered are listed on a United States securities exchange or included in The NASDAQ Stock Market System.
Initial Public Offering. Shall mean the closing of the Company's first firm commitment underwritten initial public offering of the Company's common stock made on a U.S. nationally recognized exchange pursuant to a registration statement filed under the Securities Act.
Initial Public Offering. The first firm commitment underwritten public offering pursuant to an effective registration statement under the Securities Act covering the offer and sale by the Company of its equity securities.
Initial Public Offering. Means the initial Public Offering pursuant to the IPO Registration Statement.
Initial Public Offering. Means the sale of shares of the Company's Common Stock to the public in a firm-commitment underwritten public offering pursuant to an effective registration statement under the Securities Act.

Initial Public Offering. The first registration of equity securities of the Company under the Securities Act which becomes effective and pursuant to which equity securities are sold.
Initial Public Offering. Means a firmly underwritten public offering of the Company's Common Stock registered with the U.S. Securities and Exchange Commission and underwritten by a nationally recognized investment bank approved by vote of a majority of the Board of Directors resulting in gross proceeds of at least $30 million to the Company.
