Example Definitions of "Initial Public Offering"
Initial Public Offering. An offering of securities registered under the Securities Act of 1933, the issuer of which, immediately before the registration was not subject to the reporting requirements of Section 13 or 15(d) of the Securities Exchange Act of 1934.
Initial Public Offering. A firm commitment underwritten public offering of the Company's stock pursuant to a registration statement under the Securities Act of 1933, as amended, including the Company's Registration Statement on Form S-1 (Registration No. 333-137524).
Initial Public Offering. The consummation of the first underwritten firm commitment public offering pursuant to an effective registration statement under the Securities Act of 1933, as amended, covering the offer and sale by the Company of its Common Stock.
