Example Definitions of "Initial Public Offering"
Initial Public Offering. Shall mean an underwritten initial Public Offering for the account of the Company and/or the Holders of Common Stock pursuant to a Registration Statement filed under the Securities Act.
Initial Public Offering. An initial underwritten public offering of the Company's Common Stock registered under the Securities Act of 1933, as amended.
Initial Public Offering. Means the initial public offering of shares ----------------------- of Common Stock pursuant to a Registration Statement at a price to the public of at least $20.44 per share (adjusted for stock splits, stock dividends and similar events) resulting in gross proceeds to the Company and any selling stockholders of at least $50,000,000.
Initial Public Offering. The initial public offering of shares of Company Stock to the public.
Initial Public Offering. Means the firmly underwritten initial public offering of the Spectra Common Stock.

The initial public offering of shares of Common Stock pursuant to a Registration Statement at a price to the public of at least $9.60 per share (subject to appropriate adjustments for stock splits, stock dividends, combinations and other similar recapitalizations affecting such shares) resulting in proceeds to the Company (net of all underwriting discounts and commissions) of at least $20,000,000; provided that solely with respect to holders of Series D Preferred, "$9.60" in this definition... shall be replaced with "$10.45." Initial Public Offering. Shall mean the earlier of (i) the closing of the first public offering of shares of Common Stock or Common Stock Equivalents or other equity securities by the Company or any other Person in a primary or secondary offering pursuant to an effective registration statement filed by the Company under the Securities Act or (ii) the effectiveness of any "shelf" registration statement pursuant to Rule 415 under the Securities Act filed by the Company under the Securities Act other than, in each case,... (A) any "shelf" registration pursuant to Rule 415 under the Securities Act of the Warrants and Warrant Shares pursuant to the Warrant Registration Rights Agreement (as such terms are defined in the Purchase Agreement dated June 29, 2000 among the Company, iPCS Equipment, Inc., iPCS Wireless, Inc., Donaldson Lufkin & Jenrette Securities Corporation and TD Securities (USA) Inc. and (B) any registration under the Securities Act of the shares of Common Stock issuable upon exercise of any warrant issued in accordance with the Amended and Restated Addendum III to the Management Agreement (as defined in the Investment Agreement).
