Example Definitions of "Initial Public Offering"
Initial Public Offering. The term "Initial Public Offering" shall mean a firm commitment underwritten initial public offering of Common Stock of the Company that is effected pursuant to a registration statement filed and declared effective by the SEC under the Securities Act.
Initial Public Offering. Means the sale in an underwritten public offering registered under the Securities Act of the Company's Common Stock for at least $15 million of gross proceeds.
Initial Public Offering. Means the first underwritten sale of Common Stock by the Company to the public registered under the Securities Act on Form S-1 or any similar Long-Form Registration or successor form adopted by the Securities and Exchange Commission.

Initial Public Offering. Shall mean the closing of a public offering pursuant to an effective registration statement under the Securities Act of 1933, as amended (the "Securities Act"), covering shares of the Company's Common Stock, which shares are approved for listing or quotation on the New York Stock Exchange, American Stock Exchange or Nasdaq National Market.
