Example Definitions of "IPO"
IPO. Shall mean a firm commitment underwritten public offering of Common Stock pursuant to a prospectus, registration statement or similar document under the Securities Act or equivalent laws of appropriate jurisdiction, where such shares of Common Stock are listed on at least one of the New York Stock Exchange, the American Stock Exchange or authorized to be quoted and/or traded on the NASDAQ Stock Market.
IPO. Means an initial public offering of the Common Stock registered under the Securities Act of 1933, as amended, pursuant to an effective registration statement.
IPO. A public offering of equity securities by the Company (or its parent) or any other offering of shares of the Company or such parent, which takes place simultaneously with, or which is conditional upon or which follows, a Relevant Transaction.
IPO. Shall mean the Company's first firm commitment underwritten public --- offering of the Company's Common Stock pursuant to a registration statement filed with the Securities and Exchange Commission.
IPO. Shall mean an underwritten initial public offering of the Parent Common Stock pursuant to an effective registration statement filed with the SEC under the Securities Act or any other transaction by which the Parent Common Stock becomes registered on a United States national securities exchange or authorized for quotation on an automated quotation system sponsored by a United States registered securities association;

IPO. Shall mean the closing of the issuance and sale of shares of the Company's common stock in the Company's first underwritten public offering pursuant to an effective registration statement under the Act.
