ISO

ISO. A stock option to acquire shares of Class C Common Stock that is intended to qualify as an "incentive stock option" within the meaning of Section 422 of the Code and the regulations promulgated thereunder, as amended from time to time

ISO. Means any Option (or portion thereof) intended to be and designated as an incentive stock option within the meaning of Section 422 of the Code.

ISO. An option to purchase Shares granted by the Committee pursuant to Section 8 hereof which is subject to the limitations and restrictions of Section 8 hereof and is intended to qualify as an incentive stock option under Section 422 of the Code.

ISO. A Stock Option intended to be an "incentive stock option" within the meaning of Section 422 of the Code. -9-

ISO. Shall mean one or more options to purchase Common Stock which, at the time such options are granted under the Plan or any other such plan of the Company, qualify as incentive stock options under Section 422 of the Code.

ISO. Shall mean any stock option granted pursuant to this Plan as an "incentive stock option" within the meaning of Section 422 of the Code.

ISO. Means an option designated as an incentive stock option within --- the meaning of Section 422 of the Code, the award of which contains such provisions as are necessary to comply with that Section.

ISO. Means an incentive stock option within the meaning of Section 422 of the Internal Revenue Code of 1986, as amended.

ISO. Means an Option that is an incentive stock option within the meaning of Section 422(b), or any successor Section, of the Code.

ISO. Means an Option which is intended, as evidenced by its designation, as an incentive stock option within the meaning of Section 422 of the Code, the award of which contains such provisions (including but not limited to receipt of stockholder approval of the Plan, if the Option is made prior to such approval) and is made under such circumstances and to such persons as may be necessary to comply with that section.
