Junior Stock. The Corporation's Common Stock and each other class or series of the Corporation's capital stock established hereafter by the Board of Directors the terms of which provide that such class or series will rank junior to the Series A Senior Preferred Stock as to the payment of dividends or distributions upon liquidation, winding up and dissolution. Junior Stock includes warrants, rights, calls or options exercisable for or convertible into Junior Stock.
