Example Definitions of "Losses"
Losses. Shall mean all expenses, liabilities, losses and claims (including attorneys' fees, judgments, fines, excise taxes under the Employee Retirement Income Security Act of 1974, as amended from time to time, penalties and amounts to be paid in settlement) incurred in connection with any Proceeding.
Losses. Means all amounts actually and reasonably incurred by Indemnitee that Indemnitee is legally obligated to pay as a result of any Proceeding, including, without limitation, (a) all judgments, penalties, and fines, and amounts paid or to be paid in settlement, and (b) all interest, assessments, and other charges paid or payable in connection therewith.
