Losses

Losses. Means judgments, damages, awards, fines, penalties, expenses, fees, costs, or amounts paid in settlement (including reasonable costs or expenses, but excluding any and all incidental, consequential or punitive damages, diminution in value and lost profits or earnings) arising out of any claim, complaint, demand, action, suit or other proceeding asserted or initiated or otherwise existing in respect of any matter. -31-

Losses. Means losses, deficiencies, liabilities, damages, assessments, judgments, costs, and expenses, including attorneys' and expert's fees.

Losses. Claims, losses, liabilities, obligations, payments, damages, charges, judgments, fines, penalties, amounts paid in settlement, costs and expenses, (including, without limitation, interest which may be imposed in connection therewith), costs and expenses of investigation, action suits, proceedings, demands, assessments and fees, reasonable expenses and disbursements of counsel, consultants and other experts.

Losses. Means any and all claims, liabilities, losses, causes of action, fines, penalties, litigation, lawsuits, administrative proceedings, administrative investigations, costs, and expenses, including reasonable attorneys' fees, court costs, and other costs of suit.

Shall mean any and all demands, claims, actions or causes of action, assessments, losses, damages (including special and consequential damages incurred by Third Party Claims claimants), liabilities, and out of pocket costs and expenses, including without limitation, interest, penalties, cost of external investigations (i.e., not including cost of employees of Indemnitee) and defense, and reasonable attorneys' and other professional fees and expenses.
